GRD shareholders have approved a $106 million takeover bid by UK group AMEC.
Shareholders at the company's annual general meeting today voted almost unanimously in favour of the offer.
AMEC has offered 55¢ a share for the engineering and waste management company.
The bid is structured as a scheme of arrangement.
AMEC has a small presence in Australasia but wants to expand its focus from oil and gas to include minerals and metals.
It intends to use GRD to consolidate its regional presence and is expected to retain most of the target's management.
The takeover will trigger big losses for some of GRD's leading shareholders, including Kerry Stokes' Seven Network which paid about $2.35 a share for its 12.2 per cent stake.GRD shares closed up 0.5 cents at 54.5 cents.
